General

This website (the “Site”) is owned and operated by DB Prep Academy (“we,” “us,” or “our”). By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with these Terms, our Privacy Policy, and any additional terms that apply to specific services available through the Site or from us. Accessing the Site in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms.

We reserve the right to change these Terms or to impose new conditions on use of the Site from time to time, in which case we will post the revised Terms on this page. By continuing to use the Site after we post such changes, you accept the Terms as modified.

Our limited license to you

The Site and all the materials available on it are the property of DB Prep Academy and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Site is provided solely for your personal, non-commercial use.

Unless explicitly authorized in these Terms or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, exploit, or distribute any material from the Site in any manner or medium. You may, however, download and/or print individual pages of the Site for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices.

Material you send us

When you send us material — for example a review, testimonial, photo, or video — through the Site, by email or text, or through our social media accounts, you represent that you own the material or are sending it with the express consent of its owner, and that you are 18 or older, or that a parent or legal guardian has consented on your behalf.

By sending us that material, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display it in connection with promoting and operating DB Prep Academy, and to identify you as its author by first name or screen name where appropriate. You may ask us to stop using material you sent us at any time by contacting info@dbprep.com, and we will remove it from material we control going forward.

Student work stays yours. Assignments, code, projects, and competition entries created by a student remain the property of that student and their family. We may use them internally to teach and to give feedback, and we will ask for permission before showing a student’s work publicly.

Linking and framing

You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us. However, you may not, without our prior written permission, frame or inline link any of the content of the Site, or incorporate our material, content, or intellectual property into another website or service.

SMS terms and conditions

By opting in, you will receive messages from DB Prep Academy. This program is used to send class information, scheduling updates, and promotional offers to users who opt in to receive SMS messages.

Message frequency

Message frequency varies. Message and data rates may apply.

Opt-out instructions

To stop receiving messages, you may unsubscribe at any time by replying with the keyword STOP. After sending that message, you will receive a confirmation SMS and no further messages will be sent to you. To rejoin, text START to +1 (213) 544-5776.

Carrier liability

Carriers are not responsible for delayed or undelivered messages.

Acceptable use

It is a condition of your use of the Site that you do not:

  • Restrict or inhibit any other user from using and enjoying the Site.
  • Use the Site to impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt any servers or networks used to provide the Site or its features.
  • Use the Site to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.
  • Gain unauthorized access to the Site, or to any account, computer system, or network connected to it, by means such as hacking or password mining.

  • Send us any unlawful, threatening, abusive, defamatory, obscene, or indecent material of any kind, or any material that violates or infringes the rights of others.
  • Send us any material that contains a virus or other harmful component.
  • Use the Site to advertise or to solicit anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.

Accounts and registration

To access certain features of the Site or to enroll a student, we may ask you to register and to provide information such as a name, email address, and phone number. You agree to provide true, accurate, current, and complete information. If we have reasonable grounds to suspect that the information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate the account and refuse any current or future use of the Site. Our use of the information you provide during registration is governed by our Privacy Policy.

Accounts for students under 18 are opened and managed by a parent or legal guardian, who is responsible for the activity on the account.

Enrollment, payment, and refunds

Tuition, schedules, and the refund terms that apply to a course, program, or event are set out in the enrollment agreement or registration page for that specific offering. Those terms govern your purchase. If you have a question about the terms of a particular program, contact us before enrolling.

No guarantee of results

Our programs are educational. We prepare students for competitions and coursework, but we do not guarantee any particular score, award, placement, admission, or other outcome. Results depend on the student’s own effort and on factors outside our control, and past results achieved by our students are not a promise of future results.

Disclaimers

Throughout the Site, we may provide links to websites maintained by third parties. Our linking to a third-party site does not imply an endorsement or sponsorship of that site or of the information, products, or services offered on it, and we do not operate or control those sites. Any opinions, advice, statements, or other content made available by third parties are those of the respective authors, and not ours.

The information, products and services offered on or through the site are provided “as is” and without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the site or any of its functions will be uninterrupted or error-free, or that defects will be corrected.

Limitation of liability

Under no circumstances, including negligence, shall we or our affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, the site or any materials, products, or services made available through it, even if we are advised beforehand of the possibility of such damages. Because some states do not allow the exclusion or limitation of certain categories of damages, the above limitation may not apply to you; in such states, our liability is limited to the fullest extent permitted by law.

If you are dissatisfied with the Site, with any materials or services on the Site, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Site.

Termination

We may cancel or terminate your right to use the Site or any part of it at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the affected part of the Site. The restrictions imposed on you with respect to material downloaded from the Site, and the disclaimers and limitations of liability set out in these Terms, survive.

Copyright complaints

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that material hosted by us infringes your copyright, you or your agent may send us a notice requesting that the material be removed or that access to it be blocked. A notification that fails to comply with the requirements of the DMCA will not be considered sufficient notice. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send us a counter-notice. All notices and counter-notices must meet the statutory requirements imposed by the DMCA.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

Miscellaneous

These Terms, together with any policies or operating rules we post on the Site, constitute the entire agreement between you and us regarding the Site. Our failure to exercise or enforce any right or provision of these Terms does not operate as a waiver of that right or provision. We may assign any or all of our rights and obligations to others at any time; you may not assign yours without our prior written consent. We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Site.
